Čelnici nekoliko američkih kompanija koji razvijaju cjepivo protiv covida 19 prodali su proteklih mjeseci dionice u vrijednosti više milijuna dolara, otvarajući pitanje etičnosti takvih transakcija u jeku zdravstvene krize.

Na dan kada je američki farmaceutski div Pfizer objavio preliminarne podatke koji pokazuju da je njegovo cjepivo efikasno 90 posto u sprečavanju zaraze koronavirusom, njegov šef Albert Bourla prodao je dionice tvrtke u vrijednosti 5,6 milijuna dolara.

Potez nije nezakonit, ističu u Pfizeru, u skladu je s propisima koji šefovima dopuštaju prodaju dionica kompanije po unaprijed utvrđenim kriterijima, uz unaprijed utvrđen datum i cijenu, kako bi se izbjegla sumnja u trgovinu na temelju povlaštenih informacija.

Prema propisima koje je 2000. utvrdila Komisija za vrijednosnice i tržišta dionica (SEC), odluka o prodaji ne može se mijenjati u zadnji čas.

U skladu s tim propisima, nekoliko šefova Moderne proteklih je mjeseci prodalo dionice ukupne vrijednosti veće od 100 milijuna dolara.

Moderna nije na tržište plasirala nijedan proizvod još otkada je osnovana 2010. godine, ali vlada u Washingtonu obavezala se da će kompaniji platiti do 2,5 milijardi dolara ako se njezino cjepivo protiv covida 19 pokaže učinkovitim.

U utorak kompanija je objavila da se cjepivo pokazalo učinkovitim u 94,5 posto slučajeva a cijena njezine dionice poskočila je na 90 dolara. Početkom godine iznosila je 19 dolara.

Šef tvrtke Novavax prodao je pak 18. kolovoza dionice tvrtke ukupne vrijednosti 4,2 milijarde dolara, tek nešto više od mjesec dana nakon objave da će od vlade dobiti 1,6 milijardi dolara.

Otkada je Washington 15. svibnja odlučio koordinirati nastojanja da se razvije cjepivo do 31. kolovoza čelnici pet farmaceutskih tvrtki zaradili su prodajom dionica više od 145 milijuna dolara, izračunala je neovisna udruga poreznih obveznika Accountable US.

Profesor na poslovnoj školi Wharton sveučilišta u Pennsylvaniji Daniel Taylor smatra Pfizerovo i Modernino pozivanje na propise "pravno upitnim".

"Pitanje je kakvim su informacijama šefovi raspolagali u trenutku kada su isplanirali trgovinu?", objašnjava Taylor, koji prati velike farmaceutske tvrtke od izbijanja epidemije.

Bourla je po Pfizeru 19. kolovoza samo potvrdio prodaju dionica koju je odobrio još u veljači, "isti broj, uz istu cijenu".

Dan nakon toga, 20. kolovoza, kompanija je objavila priopćenje u kojem je preliminarne rezultate kliničkih ispitivanja ocijenila "pozitivnima".

Normalno je i poželjno poticati šefove laboratorija da što prije razviju sigurno i pouzdano cjepivo, ističe Taylor, ali kada odluče prodati dionice, moraju voditi računa o ravnopravnoj utakmici, ne smiju koristiti prednost u odnosu na druge ulagače koju im jamči bolja informiranost.

"Mislim da kompanije nisu shvatile da takva prodaja u trenutku kada broj slučajeva covida 19 naglo raste širom svijeta može naštetiti ugledu" objašnjava.

Profesor na sveučilištu Colorado-Boulder Sanjai Bhagat, specijaliziran za korporativno upravljanje, smatra da bi izvršnim direktorima jednostavno trebalo zabraniti prodaju dionica sve dok od njihovog odlaska iz kompanije ne prođe godina dana do dvije.

"Ako su uložili puno novca u dionice i opcije, htjet će podići cijenu dionice što je više moguće, čak i ako to znači da neće podijeliti sve informacije s ostalim ulagačima", objašnjava Bhagat.

Smatra da bi odbori kompanija morali striktno voditi računa da šefovi ne padnu u iskušenje.

"O njihovim postupcima ne bi trebalo suditi isključivo po kriteriju (ne)zakonitosti", ističe Bhagat. "Posebno u ovom trenutku ljudi od njih očekuju odgovornost."

Iako u SEC-u nisu htjeli odgovoriti na pitanje AFP-a jesu li pokrenuli istragu o čelnicima laboratorija koji su prodali dionice, njihov šef Jay Clayton oštro ih je u svibnju upozorio da poštuju najbolju praksu.

Čelnici nekoliko američkih kompanija koji razvijaju cjepivo protiv covida 19 prodali su proteklih mjeseci dionice u vrijednosti više milijuna dolara, otvarajući pitanje etičnosti takvih transakcija u jeku zdravstvene krize.

Na dan kada je američki farmaceutski div Pfizer objavio preliminarne podatke koji pokazuju da je njegovo cjepivo efikasno 90 posto u sprečavanju zaraze koronavirusom, njegov šef Albert Bourla prodao je dionice tvrtke u vrijednosti 5,6 milijuna dolara.

Potez nije nezakonit, ističu u Pfizeru, u skladu je s propisima koji šefovima dopuštaju prodaju dionica kompanije po unaprijed utvrđenim kriterijima, uz unaprijed utvrđen datum i cijenu, kako bi se izbjegla sumnja u trgovinu na temelju povlaštenih informacija.

Prema propisima koje je 2000. utvrdila Komisija za vrijednosnice i tržišta dionica (SEC), odluka o prodaji ne može se mijenjati u zadnji čas.

U skladu s tim propisima, nekoliko šefova Moderne proteklih je mjeseci prodalo dionice ukupne vrijednosti veće od 100 milijuna dolara.

Moderna nije na tržište plasirala nijedan proizvod još otkada je osnovana 2010. godine, ali vlada u Washingtonu obavezala se da će kompaniji platiti do 2,5 milijardi dolara ako se njezino cjepivo protiv covida 19 pokaže učinkovitim.

U utorak kompanija je objavila da se cjepivo pokazalo učinkovitim u 94,5 posto slučajeva a cijena njezine dionice poskočila je na 90 dolara. Početkom godine iznosila je 19 dolara.

Šef tvrtke Novavax prodao je pak 18. kolovoza dionice tvrtke ukupne vrijednosti 4,2 milijarde dolara, tek nešto više od mjesec dana nakon objave da će od vlade dobiti 1,6 milijardi dolara.

Otkada je Washington 15. svibnja odlučio koordinirati nastojanja da se razvije cjepivo do 31. kolovoza čelnici pet farmaceutskih tvrtki zaradili su prodajom dionica više od 145 milijuna dolara, izračunala je neovisna udruga poreznih obveznika Accountable US.

Profesor na poslovnoj školi Wharton sveučilišta u Pennsylvaniji Daniel Taylor smatra Pfizerovo i Modernino pozivanje na propise "pravno upitnim".

"Pitanje je kakvim su informacijama šefovi raspolagali u trenutku kada su isplanirali trgovinu?", objašnjava Taylor, koji prati velike farmaceutske tvrtke od izbijanja epidemije.

Bourla je po Pfizeru 19. kolovoza samo potvrdio prodaju dionica koju je odobrio još u veljači, "isti broj, uz istu cijenu".

Dan nakon toga, 20. kolovoza, kompanija je objavila priopćenje u kojem je preliminarne rezultate kliničkih ispitivanja ocijenila "pozitivnima".

Normalno je i poželjno poticati šefove laboratorija da što prije razviju sigurno i pouzdano cjepivo, ističe Taylor, ali kada odluče prodati dionice, moraju voditi računa o ravnopravnoj utakmici, ne smiju koristiti prednost u odnosu na druge ulagače koju im jamči bolja informiranost.

"Mislim da kompanije nisu shvatile da takva prodaja u trenutku kada broj slučajeva covida 19 naglo raste širom svijeta može naštetiti ugledu" objašnjava.

Profesor na sveučilištu Colorado-Boulder Sanjai Bhagat, specijaliziran za korporativno upravljanje, smatra da bi izvršnim direktorima jednostavno trebalo zabraniti prodaju dionica sve dok od njihovog odlaska iz kompanije ne prođe godina dana do dvije.

"Ako su uložili puno novca u dionice i opcije, htjet će podići cijenu dionice što je više moguće, čak i ako to znači da neće podijeliti sve informacije s ostalim ulagačima", objašnjava Bhagat.

Smatra da bi odbori kompanija morali striktno voditi računa da šefovi ne padnu u iskušenje.

"O njihovim postupcima ne bi trebalo suditi isključivo po kriteriju (ne)zakonitosti", ističe Bhagat. "Posebno u ovom trenutku ljudi od njih očekuju odgovornost."

Iako u SEC-u nisu htjeli odgovoriti na pitanje AFP-a jesu li pokrenuli istragu o čelnicima laboratorija koji su prodali dionice, njihov šef Jay Clayton oštro ih je u svibnju upozorio da poštuju najbolju praksu.

Čelnici nekoliko američkih kompanija koji razvijaju cjepivo protiv covida 19 prodali su proteklih mjeseci dionice u vrijednosti više milijuna dolara, otvarajući pitanje etičnosti takvih transakcija u jeku zdravstvene krize.

Na dan kada je američki farmaceutski div Pfizer objavio preliminarne podatke koji pokazuju da je njegovo cjepivo efikasno 90 posto u sprečavanju zaraze koronavirusom, njegov šef Albert Bourla prodao je dionice tvrtke u vrijednosti 5,6 milijuna dolara.

Potez nije nezakonit, ističu u Pfizeru, u skladu je s propisima koji šefovima dopuštaju prodaju dionica kompanije po unaprijed utvrđenim kriterijima, uz unaprijed utvrđen datum i cijenu, kako bi se izbjegla sumnja u trgovinu na temelju povlaštenih informacija.
