Fortenova grupa priopćila je kako je pokrenula "…međunarodni proces ispitivanja interesa potencijalnih investitora za kupnju udjela u Fortenova Group MidCo B.V., nizozemskoj kompaniji koja je vlasnica Fortenova grupe d.d. Za podršku u ovom procesu angažirana je međunarodna investicijska banka Lazard, prikupljanje iskaza interesa je upravo započelo, a eventualno okončanje procesa ne očekuje se prije kraja rujna ove godine", piše Jutarnji list.

Treba podsjetiti da Fortenova i dalje ima kompliciranu vlasničku struktura u kojoj ruske banke – Sberbank i VTB – drže oko polovine, što je u osnovi imovina pod sankcijama. Iz toga pak proizlazi problem s refinanciranjem Fortenove, ali iz kompanije objašnjavaju da će "…refinanciranje obveznice od 1,05 milijardi eura kratkoročno biti riješeno najvjerojatnije kroz produženje postojeće obveznice na rok koji neće biti duži od kraja 2024. godine, uz uvjete slične sadašnjima, ali i uz značajan dodatan jednokratni trošak. Sadašnji kreditor je za takav aranžman poslao neobvezujuću ponudu, koja će morati biti prihvaćena kako bi bio premošćen period u kojem se namjerava riješiti situacija sa sankcioniranim dioničarima, uz namirenje u skladu sa sankcijama. Ako kompanija i tada bude imala trenutnu strukturu vlasništva, vjerojatno je da će svako sljedeće refinanciranje pod ovakvim uvjetima samo smanjivati vrijednost kompanije za sve dionike, uključujući i suvlasnike, a posebno nesankcionirane suvlasnike."

Nije poznato koliko je zbog okolnosti bilo skupo načelno dogovoreno refinanciranje Fortenove, ali se može pretpostaviti kako je trošak bio vrlo značajan. Ipak, čini se da će se izbjeći eventualni novi problemi s likvidnošću odnosno obrtnim kapitalom tvrtke.

Fortenova je naglasila kako je potencijalnim investitorima već prezentirala financijske pokazatelje za 2022, iako nerevidirane:. navode ukupne prihode veće od 5,2 milijarde eura, dobit iz operativnog poslovanja IFRS-16 veću od 470 milijuna eura i prilagođenu dobit iz operativnog poslovanja veću od 300 milijuna eura, neto dug od 1,1 milijardu eura, omjer neto duga i prilagođene dobiti iz operativnog poslovanja od 3,5 puta te likvidnost na računu veću od 280 milijuna eura.

Ovi podaci ekspertima impliciraju relativno nisku valuaciju u odnosu na impresiju regionalne važnosti Fortenova grupe.

Intrigantno je kako su u Fortenovi naglasili da se kroz proces prodaje kompanije pokušava riješiti problem svih suvlasnika, sankcioniranih i nesankcioniranih. Naglasili su kako su "…nakon neuspjelih pokušaja Sberbanke da proda svoje udjele u Grupi, istekle pravne osnove koje su postojale za dobivanje licence za provedbu izlaska sankcioniranih imatelja depozitarnih potvrda iz vlasničke strukture". Tumače kako "stoga trenutno više nema ostvarivih mogućnosti za prodaju samo udjela SBK ili Sberbanke."

"Kod prodaje Fortenova Group MidCo B.V. namjera je prije bilo kakvog drugog plaćanja iz prikupljenih sredstava isplatiti najprije Contigent Payment Rights - CPRs Fortenova Group TopCo B.V. koja se u iznosu od oko 78 milijuna eura odnose na tzv. "granični dug" - potraživanja dobavljača koja su dogovorena u nagodbi vjerovnika Agrokora i reinstalirana na Fortenova Group TopCo.

Kroz ovaj proces Fortenova grupa namjerava maksimizirati vrijednost za sve dionike kompanije, uključujući i sve suvlasnike, bez obzira bili oni sankcionirani ili ne. Suvlasnici, odnosno imatelji depozitarnih potvrda Fortenova grupe, su obaviješteni o započinjanju ovog procesa te su pozvani predložiti eventualna alternativa rješenja." Jasno je da je jedan od ciljeva ove operacije da po njenom završetku to što "Fortenova grupa više u svojoj kapitalnoj strukturi ne bi trebala imati sankcionirane suvlasnike, naslijeđene iz procesa nagodbe vjerovnika Agrokora. Ovime bi bila riješena ključna prepreka u osiguravanju povoljne, dugoročne i održive nove kapitalne strukture i bio bi omogućen međunarodni investicijski potencijal kompanije", zaključuju u priopćenju.

Fortenova grupa priopćila je kako je pokrenula "…međunarodni proces ispitivanja interesa potencijalnih investitora za kupnju udjela u Fortenova Group MidCo B.V., nizozemskoj kompaniji koja je vlasnica Fortenova grupe d.d. Za podršku u ovom procesu angažirana je međunarodna investicijska banka Lazard, prikupljanje iskaza interesa je upravo započelo, a eventualno okončanje procesa ne očekuje se prije kraja rujna ove godine", piše Jutarnji list.

Treba podsjetiti da Fortenova i dalje ima kompliciranu vlasničku struktura u kojoj ruske banke – Sberbank i VTB – drže oko polovine, što je u osnovi imovina pod sankcijama. Iz toga pak proizlazi problem s refinanciranjem Fortenove, ali iz kompanije objašnjavaju da će "…refinanciranje obveznice od 1,05 milijardi eura kratkoročno biti riješeno najvjerojatnije kroz produženje postojeće obveznice na rok koji neće biti duži od kraja 2024. godine, uz uvjete slične sadašnjima, ali i uz značajan dodatan jednokratni trošak. Sadašnji kreditor je za takav aranžman poslao neobvezujuću ponudu, koja će morati biti prihvaćena kako bi bio premošćen period u kojem se namjerava riješiti situacija sa sankcioniranim dioničarima, uz namirenje u skladu sa sankcijama. Ako kompanija i tada bude imala trenutnu strukturu vlasništva, vjerojatno je da će svako sljedeće refinanciranje pod ovakvim uvjetima samo smanjivati vrijednost kompanije za sve dionike, uključujući i suvlasnike, a posebno nesankcionirane suvlasnike."

Nije poznato koliko je zbog okolnosti bilo skupo načelno dogovoreno refinanciranje Fortenove, ali se može pretpostaviti kako je trošak bio vrlo značajan. Ipak, čini se da će se izbjeći eventualni novi problemi s likvidnošću odnosno obrtnim kapitalom tvrtke.

Fortenova je naglasila kako je potencijalnim investitorima već prezentirala financijske pokazatelje za 2022, iako nerevidirane:. navode ukupne prihode veće od 5,2 milijarde eura, dobit iz operativnog poslovanja IFRS-16 veću od 470 milijuna eura i prilagođenu dobit iz operativnog poslovanja veću od 300 milijuna eura, neto dug od 1,1 milijardu eura, omjer neto duga i prilagođene dobiti iz operativnog poslovanja od 3,5 puta te likvidnost na računu veću od 280 milijuna eura.

Ovi podaci ekspertima impliciraju relativno nisku valuaciju u odnosu na impresiju regionalne važnosti Fortenova grupe.

Intrigantno je kako su u Fortenovi naglasili da se kroz proces prodaje kompanije pokušava riješiti problem svih suvlasnika, sankcioniranih i nesankcioniranih. Naglasili su kako su "…nakon neuspjelih pokušaja Sberbanke da proda svoje udjele u Grupi, istekle pravne osnove koje su postojale za dobivanje licence za provedbu izlaska sankcioniranih imatelja depozitarnih potvrda iz vlasničke strukture". Tumače kako "stoga trenutno više nema ostvarivih mogućnosti za prodaju samo udjela SBK ili Sberbanke."

"Kod prodaje Fortenova Group MidCo B.V. namjera je prije bilo kakvog drugog plaćanja iz prikupljenih sredstava isplatiti najprije Contigent Payment Rights - CPRs Fortenova Group TopCo B.V. koja se u iznosu od oko 78 milijuna eura odnose na tzv. "granični dug" - potraživanja dobavljača koja su dogovorena u nagodbi vjerovnika Agrokora i reinstalirana na Fortenova Group TopCo.

Kroz ovaj proces Fortenova grupa namjerava maksimizirati vrijednost za sve dionike kompanije, uključujući i sve suvlasnike, bez obzira bili oni sankcionirani ili ne. Suvlasnici, odnosno imatelji depozitarnih potvrda Fortenova grupe, su obaviješteni o započinjanju ovog procesa te su pozvani predložiti eventualna alternativa rješenja." Jasno je da je jedan od ciljeva ove operacije da po njenom završetku to što "Fortenova grupa više u svojoj kapitalnoj strukturi ne bi trebala imati sankcionirane suvlasnike, naslijeđene iz procesa nagodbe vjerovnika Agrokora. Ovime bi bila riješena ključna prepreka u osiguravanju povoljne, dugoročne i održive nove kapitalne strukture i bio bi omogućen međunarodni investicijski potencijal kompanije", zaključuju u priopćenju.

Prodaje se Fortenova!: ‘Prikupljanje iskaza interesa je upravo započelo...‘

Fortenova grupa priopćila je kako je pokrenula "…međunarodni proces ispitivanja interesa potencijalnih investitora za kupnju udjela u Fortenova Group MidCo B.V., nizozemskoj kompaniji koja je vlasnica Fortenova grupe d.d. Za podršku u ovom procesu angažirana je međunarodna investicijska banka Lazard, prikupljanje iskaza interesa je upravo započelo, a eventualno okončanje procesa ne očekuje se prije kraja rujna ove godine", piše Jutarnji list.

Treba podsjetiti da Fortenova i dalje ima kompliciranu vlasničku struktura u kojoj ruske banke – Sberbank i VTB – drže oko polovine, što je u osnovi imovina pod sankcijama. Iz toga pak proizlazi problem s refinanciranjem Fortenove, ali iz kompanije objašnjavaju da će "…refinanciranje obveznice od 1,05 milijardi eura kratkoročno biti riješ...
