"U četvrtak, 29. travnja 2021., Sud EU donio je još jednu u nizu izuzetno važnih presuda u slučaju franak, koja je bitna za odluku Vrhovnog suda u Poljskoj o tome jesu li CHF ugovori ništetni u cijelosti, i to nakon izvršene konverzije ništetne ugovorne odredbe o valutnoj klauzuli CHF na temelju zakonske preporuke. U Poljskoj, zakonom nije utvrđen mehanizam konverzije, nego je zakonom naloženo da se ništetne odredbe zamijene valjanim odredbama, nakon čega su banka i potrošači sklopili svojevrsne nagodbe odnosno konverzije kojima su promijenili ništetnu odredbu o valutnoj klauzuli CHF."

Navedeno je to u priopćenju za javnost Udruge Franak, koja je dan ranije izvijestila na svojoj Facebook stranici o presudi Suda EU po poljskom predmetu, a u petak je detaljnije obrazložila njezin značaj.

-Ta odluka Suda EU važna je odnosno krucijalna i za hrvatski slučaj franak, i to prije svega u smislu utvrđivanja prava potrošača na puno obeštećenje nakon izvršene konverzije CHF u EURO. Ta presuda, dakle, nema veliki utjecaj na potrošače s nekonvertiranim kreditima, ali itekako ima utjecaj na buduću presudu Suda EU u hrvatskom predmetu C-567/20, gdje će Sud EU odgovoriti na pitanje imaju li potrošači s konvertiranim kreditima u Hrvatskoj pravo na puno obeštećenje - istaknuto je u priopćenju.

Izdvojili su najvažnije dijelove iz presude C-19/20:

1. Potrošač se može odreći isticanja nepoštenosti odredbe u okviru obnove/konverzije, samo pod uvjetom da je to odricanje rezultat slobodnog i informiranog pristanka (paragraf 48).

2. Nakon konverzije ništetne odredbe nacionalni sud je i dalje dužan utvrđivati ništetnost te ugovorne odredbe, osim ako je potrošač na temelju informiranog pristanka kod konverzije odustao od toga (paragraf 61).

3. Činjenica da su određene ugovorne odredbe putem nacionalnog zakona bile proglašene nepoštenima i ništavima te zamijenjene novim odredbama ne može imati za učinak smanjenje zaštite zajamčene potrošačima, kao što je to već i prije suđeno presudom C-118/17(paragraf 78). Podsjetimo, u Hrvatskoj zakonom čak i nije niti jedna odredba proglašena ništetnim, nego je utvrđenje ništetnosti potpuno prepušteno sudovima

4. Nacionalni sud ne smije svojom odlukom održati ugovornu odredbu djelomično na snazi, nego je mora ukloniti u potpunosti (paragraf 80).

5. Posljedice uklanjanja nepoštene ugovorne odredbe spadaju pod odredbe nacionalnog prava (paragraf 90). Konkretno, u Hrvatskoj, po utvrđenju ništetnosti mora se vratiti sve što je stečeno bez osnove na temelju takve ništetne ugovorne odredbe uz pripadajuće zatezne kamate, jer su banke nepošteni stjecatelji.

6. Nacionalni sud dužan je prije utvrđenja ništetnosti ugovora upozoriti potrošača koje će to za njega posljedice proizvesti (paragraf 99). Konkretno, u Hrvatskoj na temelju ništetnosti ugovora svatko mora vratiti sve što je primio, a banka kao nepošteni stjecatelj mora platiti još i zatezne kamate od dana primitka.

Iz Udruge Franak nadalje pojašnjavaju kako se utvrđenja Suda EU u presudi C-19/20 uvelike naslanjaju na prethodne presude Suda EU C-118/17 i C-452/18. Upravo te presude Suda EU, kako naglašavaju, snažni su temelji za postavljanje prethodnih pitanja Sudu EU po predmetu C-567/20, vezano za hrvatske potrošače koji su konvertirali CHF u EURO.

-U skladu s konzistentnom sudskom praksom Suda EU zaključujemo da će Sud EU po predmetu C-567/20 dati za pravo hrvatskim potrošačima, a ne bankama, jer nema baš nikakve razlike u meritumu problema između poljskih, mađarskih i hrvatskih potrošača. U sva tri slučaja provedena je konverzija, ali pritom je konverzija u Hrvatskoj provedena čak i prije utvrđenja ništetnosti ugovorne odredbe o valutnoj klauzuli CHF te je zakonom bilo izričito zabranjeno ugovaranje bilo kakvih odricanja od primjene Direktive 93/13 u budućnosti. Hrvatski zakonodavac je to učinio prije svega zbog toga jer se nije htio, a nije se niti smio petljati u sudsku vlast. Stoga je situacija u Hrvatskoj još očiglednije nedvojbeno u korist potrošača koji su konvertirali CHF u EURO u vrijeme kada CHF nije bio ništetan te se pri konverziji potrošači nisu odrekli svojih budućih prava, niti ih je itko upozorio kako će pristankom na konverziju neka svoja buduća prava izgubiti - ističu u Udruzi Franak.

-S velikim optimizmom čekamo odluku Suda EU po predmetu C-567/20, koja ne smije biti suprotna odlukama Suda EU C-118/17, C-452/18 i C-19/20 - zaključuju na kraju.

"U četvrtak, 29. travnja 2021., Sud EU donio je još jednu u nizu izuzetno važnih presuda u slučaju franak, koja je bitna za odluku Vrhovnog suda u Poljskoj o tome jesu li CHF ugovori ništetni u cijelosti, i to nakon izvršene konverzije ništetne ugovorne odredbe o valutnoj klauzuli CHF na temelju zakonske preporuke. U Poljskoj, zakonom nije utvrđen mehanizam konverzije, nego je zakonom naloženo da se ništetne odredbe zamijene valjanim odredbama, nakon čega su banka i potrošači sklopili svojevrsne nagodbe odnosno konverzije kojima su promijenili ništetnu odredbu o valutnoj klauzuli CHF."

Navedeno je to u priopćenju za javnost Udruge Franak, koja je dan ranije izvijestila na svojoj Facebook stranici o presudi Suda EU po poljskom predmetu, a u petak je detaljnije obrazložila njezin značaj.

-Ta odluka Suda EU važna je odnosno krucijalna i za hrvatski slučaj franak, i to prije svega u smislu utvrđivanja prava potrošača na puno obeštećenje nakon izvršene konverzije CHF u EURO. Ta presuda, dakle, nema veliki utjecaj na potrošače s nekonvertiranim kreditima, ali itekako ima utjecaj na buduću presudu Suda EU u hrvatskom predmetu C-567/20, gdje će Sud EU odgovoriti na pitanje imaju li potrošači s konvertiranim kreditima u Hrvatskoj pravo na puno obeštećenje - istaknuto je u priopćenju.

Izdvojili su najvažnije dijelove iz presude C-19/20:

1. Potrošač se može odreći isticanja nepoštenosti odredbe u okviru obnove/konverzije, samo pod uvjetom da je to odricanje rezultat slobodnog i informiranog pristanka (paragraf 48).

2. Nakon konverzije ništetne odredbe nacionalni sud je i dalje dužan utvrđivati ništetnost te ugovorne odredbe, osim ako je potrošač na temelju informiranog pristanka kod konverzije odustao od toga (paragraf 61).

3. Činjenica da su određene ugovorne odredbe putem nacionalnog zakona bile proglašene nepoštenima i ništavima te zamijenjene novim odredbama ne može imati za učinak smanjenje zaštite zajamčene potrošačima, kao što je to već i prije suđeno presudom C-118/17(paragraf 78). Podsjetimo, u Hrvatskoj zakonom čak i nije niti jedna odredba proglašena ništetnim, nego je utvrđenje ništetnosti potpuno prepušteno sudovima

4. Nacionalni sud ne smije svojom odlukom održati ugovornu odredbu djelomično na snazi, nego je mora ukloniti u potpunosti (paragraf 80).

5. Posljedice uklanjanja nepoštene ugovorne odredbe spadaju pod odredbe nacionalnog prava (paragraf 90). Konkretno, u Hrvatskoj, po utvrđenju ništetnosti mora se vratiti sve što je stečeno bez osnove na temelju takve ništetne ugovorne odredbe uz pripadajuće zatezne kamate, jer su banke nepošteni stjecatelji.

6. Nacionalni sud dužan je prije utvrđenja ništetnosti ugovora upozoriti potrošača koje će to za njega posljedice proizvesti (paragraf 99). Konkretno, u Hrvatskoj na temelju ništetnosti ugovora svatko mora vratiti sve što je primio, a banka kao nepošteni stjecatelj mora platiti još i zatezne kamate od dana primitka.

Iz Udruge Franak nadalje pojašnjavaju kako se utvrđenja Suda EU u presudi C-19/20 uvelike naslanjaju na prethodne presude Suda EU C-118/17 i C-452/18. Upravo te presude Suda EU, kako naglašavaju, snažni su temelji za postavljanje prethodnih pitanja Sudu EU po predmetu C-567/20, vezano za hrvatske potrošače koji su konvertirali CHF u EURO.

-U skladu s konzistentnom sudskom praksom Suda EU zaključujemo da će Sud EU po predmetu C-567/20 dati za pravo hrvatskim potrošačima, a ne bankama, jer nema baš nikakve razlike u meritumu problema između poljskih, mađarskih i hrvatskih potrošača. U sva tri slučaja provedena je konverzija, ali pritom je konverzija u Hrvatskoj provedena čak i prije utvrđenja ništetnosti ugovorne odredbe o valutnoj klauzuli CHF te je zakonom bilo izričito zabranjeno ugovaranje bilo kakvih odricanja od primjene Direktive 93/13 u budućnosti. Hrvatski zakonodavac je to učinio prije svega zbog toga jer se nije htio, a nije se niti smio petljati u sudsku vlast. Stoga je situacija u Hrvatskoj još očiglednije nedvojbeno u korist potrošača koji su konvertirali CHF u EURO u vrijeme kada CHF nije bio ništetan te se pri konverziji potrošači nisu odrekli svojih budućih prava, niti ih je itko upozorio kako će pristankom na konverziju neka svoja buduća prava izgubiti - ističu u Udruzi Franak.

-S velikim optimizmom čekamo odluku Suda EU po predmetu C-567/20, koja ne smije biti suprotna odlukama Suda EU C-118/17, C-452/18 i C-19/20 - zaključuju na kraju.
