“Dugo smo očekivali presudu Suda EU po španjolskom predmetu C-268/19, kojom je Sud EU trebao odgovoriti na pitanje ima li potrošač koji je konvertirao ugovornu odredbu pravo utvrđivati ništetnost te odredbe, ako u trenutku konverzije nije znao da će ta ugovorna odredba koja se konvertira odnosno mijenja kasnije biti utvrđena ništetnom. Identično je to konverziji u slučaju franak u Hrvatskoj, gdje su potrošači konvertirali CHF u EURO prije nego što je bila utvrđena ništetnost valutne klauzule CHF. Dapače, zakon je donesen upravo 2015. nakon što je već i revizijski na Vrhovnom sudu utvrđeno kolektivno da valutna klauzula CHF nije ništetna. Tada nije bilo baš nikakvih naznaka da bi se sve to moglo kasnije promijeniti, da će Ustavni sud vratiti postupak na Vrhovni sud, i da će se u potpunosti promijeniti prvobitna loša odluka visokih sudova”, priopćili su u četvrtak iz Udruge Franak donoseći informaciju o još jednoj krucijalnoj presudi Suda EU-a.

Na temelju utvrđenja Suda EU u presudi C-268/19, možemo, navode u Udruzi Franak, zaključiti sljedeće:

"Ukoliko potrošač u vrijeme nagodbe/konverzije/novacije ugovorne odredbe nije bio informiran o tome da će izmijenjena temeljna ugovorna odredba možda naknadno biti utvrđena ništetnom (kao što je to slučaj s valutnom klauzulom CHF u Hrvatskoj), i koje su posljedice te ništetnosti za potrošača, onda se takva konverzija/nagodba/novacija ne smatra preprekom za utvrđenje ništetnosti ugovora odnosno ugovorne odredbe iz temeljnog ugovora koja je izmijenjena konverzijom/nagodbom/novacijom, dapače u tome slučaju se može utvrđivati i ništetnost same nagodbe/konverzije/novacije!“

Nadalje su izdvojili najvažnija utvrđenja Suda EU u presudi C-268/19 od 1. lipnja 2021. po najvažnijim paragrafima.

Paragraf 33

Odricanje potrošača od utvrđenja ništetnosti ugovorne odredbe koju je konvertirao u valjanu odredbu može se uzeti u obzir samo ako je u vrijeme odricanja potrošač bio svjestan neobvezujućeg učinka ništetne odredbe i posljedica toga odricanja. Samo se u tome slučaju može smatrati da potrošačevo prihvaćanje konverzije/novacije takve ugovorne odredbe proizlazi iz slobodnog i informiranog pristanka.

Paragraf 34

Iz paragrafa 33 proizlazi da je dopušteno otkloniti ništetnu odredbu, mijenjajući je aneksom ugovora, pod uvjetom da, s jedne strane, odricanje od strane potrošača koji se poziva na ništetnost proizlazi iz njegovog slobodnog i informiranog pristanka, a s druge strane, konverzija sama po sebi nije ništetna.

Paragraf 37

Zapravo, samo ako je trgovac obavijestio potrošača o okolnosti da bi se odredba koja se mijenja mogla kasnije proglasiti ništetnom te o posljedicama te ništetnosti, mogao je potrošač razumjeti posljedice za njega ukoliko prihvati novaciju i odrekne se tužbe.

Paragraf 40

S obzirom na prethodna razmatranja, ništetna ugovorna odredba može biti predmet novacije/konverzije pod uvjetom da je u vrijeme sklapanja novacije/konverzije potrošač bio svjestan neobvezujuće prirode ništetne odredbe i posljedica ništetnosti, tako da pridržavanje novacije/konverzije proizlazi iz slobodnog i informiranog pristanka, što mora provjeriti nacionalni sud.

Paragraf 51

Od temeljne je važnosti da potrošač prije ugovaranja novacije/konverzije ima informacije o ugovornim uvjetima i posljedicama takvog ugovaranja. Potrošač odlučuje želi li da ga vežu uvjeti koje je unaprijed sastavio trgovac, i pritom se potrošač rukovodi uglavnom tim informacijama koje je dobio od trgovca.

Paragraf 59

Kao što je vidljivo iz paragrafa 40 ove presude, samo ako je potrošač bio svjestan neobvezujuće prirode ništetne odredbe i posljedica koje je to povlačilo za sobom, novacija/konverzija može se smatrati valjanom.

Paragraf 60

Zahtjev transparentnosti podrazumijeva da u vrijeme sklapanja novacije/konverzije između profesionalca trgovca i potrošača, o čijim se klauzulama nije pregovaralo pojedinačno i čija je svrha modificiranje potencijalno ništetne odredbe iz temeljnog ugovora sklopljenog od istih strana, podrazumijeva da trgovac mora informirati potrošača tako da on razumije pravne posljedice koje za njega proizlaze iz novacije/konverzije, a posebno ga mora informirati o tome da bi ugovorna odredba koja se konvertira naknadno mogla biti utvrđena ništetnom. Nacionalni sud mora utvrditi je li kod konverzije ispunjen taj zahtjev transparentnosti i informiranosti.

-Očekujemo da Sud EU zadrži svoja dosadašnja stajališta i kod odlučivanja po hrvatskom predmetu C-567/20, u kojemu se upravo postavlja pitanje prava potrošača da nakon izvršene konverzije utvrđuje ništetnost temeljnih ugovornih odredaba koje su konvertirane, pa sve do toga da se kod utvrđivanja njegovih prava ne primjenjuje tzv. Zakon o konverziji na način kako je to protumačio Vrhovni sud u oglednom postupku. S velikim optimizmom očekujemo odluku Suda EU po hrvatskom predmetu C-567/20. Konverzija nije obeštećenje – ističu u Udruzi Franak.

-Ugovori s ništetnom valutom CHF ništetni su u cijelosti, a naši ugovori imaju ništetnu još i promjenjivu kamatnu stopu! Banke će morati vratiti sve što su sofisticirano opljačkale hrvatskim potrošačima s kreditima u švicarcima, ali i platiti pripadajuće zatezne kamate – zaključuju u priopćenju.

“Dugo smo očekivali presudu Suda EU po španjolskom predmetu C-268/19, kojom je Sud EU trebao odgovoriti na pitanje ima li potrošač koji je konvertirao ugovornu odredbu pravo utvrđivati ništetnost te odredbe, ako u trenutku konverzije nije znao da će ta ugovorna odredba koja se konvertira odnosno mijenja kasnije biti utvrđena ništetnom. Identično je to konverziji u slučaju franak u Hrvatskoj, gdje su potrošači konvertirali CHF u EURO prije nego što je bila utvrđena ništetnost valutne klauzule CHF. Dapače, zakon je donesen upravo 2015. nakon što je već i revizijski na Vrhovnom sudu utvrđeno kolektivno da valutna klauzula CHF nije ništetna. Tada nije bilo baš nikakvih naznaka da bi se sve to moglo kasnije promijeniti, da će Ustavni sud vratiti postupak na Vrhovni sud, i da će se u potpunosti promijeniti prvobitna loša odluka visokih sudova”, priopćili su u četvrtak iz Udruge Franak donoseći informaciju o još jednoj krucijalnoj presudi Suda EU-a.

Na temelju utvrđenja Suda EU u presudi C-268/19, možemo, navode u Udruzi Franak, zaključiti sljedeće:

"Ukoliko potrošač u vrijeme nagodbe/konverzije/novacije ugovorne odredbe nije bio informiran o tome da će izmijenjena temeljna ugovorna odredba možda naknadno biti utvrđena ništetnom (kao što je to slučaj s valutnom klauzulom CHF u Hrvatskoj), i koje su posljedice te ništetnosti za potrošača, onda se takva konverzija/nagodba/novacija ne smatra preprekom za utvrđenje ništetnosti ugovora odnosno ugovorne odredbe iz temeljnog ugovora koja je izmijenjena konverzijom/nagodbom/novacijom, dapače u tome slučaju se može utvrđivati i ništetnost same nagodbe/konverzije/novacije!“

Nadalje su izdvojili najvažnija utvrđenja Suda EU u presudi C-268/19 od 1. lipnja 2021. po najvažnijim paragrafima.

Paragraf 33

Odricanje potrošača od utvrđenja ništetnosti ugovorne odredbe koju je konvertirao u valjanu odredbu može se uzeti u obzir samo ako je u vrijeme odricanja potrošač bio svjestan neobvezujućeg učinka ništetne odredbe i posljedica toga odricanja. Samo se u tome slučaju može smatrati da potrošačevo prihvaćanje konverzije/novacije takve ugovorne odredbe proizlazi iz slobodnog i informiranog pristanka.

Paragraf 34

Iz paragrafa 33 proizlazi da je dopušteno otkloniti ništetnu odredbu, mijenjajući je aneksom ugovora, pod uvjetom da, s jedne strane, odricanje od strane potrošača koji se poziva na ništetnost proizlazi iz njegovog slobodnog i informiranog pristanka, a s druge strane, konverzija sama po sebi nije ništetna.

Paragraf 37

Zapravo, samo ako je trgovac obavijestio potrošača o okolnosti da bi se odredba koja se mijenja mogla kasnije proglasiti ništetnom te o posljedicama te ništetnosti, mogao je potrošač razumjeti posljedice za njega ukoliko prihvati novaciju i odrekne se tužbe.

Paragraf 40

S obzirom na prethodna razmatranja, ništetna ugovorna odredba može biti predmet novacije/konverzije pod uvjetom da je u vrijeme sklapanja novacije/konverzije potrošač bio svjestan neobvezujuće prirode ništetne odredbe i posljedica ništetnosti, tako da pridržavanje novacije/konverzije proizlazi iz slobodnog i informiranog pristanka, što mora provjeriti nacionalni sud.

Paragraf 51

Od temeljne je važnosti da potrošač prije ugovaranja novacije/konverzije ima informacije o ugovornim uvjetima i posljedicama takvog ugovaranja. Potrošač odlučuje želi li da ga vežu uvjeti koje je unaprijed sastavio trgovac, i pritom se potrošač rukovodi uglavnom tim informacijama koje je dobio od trgovca.

Paragraf 59

Kao što je vidljivo iz paragrafa 40 ove presude, samo ako je potrošač bio svjestan neobvezujuće prirode ništetne odredbe i posljedica koje je to povlačilo za sobom, novacija/konverzija može se smatrati valjanom.

Paragraf 60

Zahtjev transparentnosti podrazumijeva da u vrijeme sklapanja novacije/konverzije između profesionalca trgovca i potrošača, o čijim se klauzulama nije pregovaralo pojedinačno i čija je svrha modificiranje potencijalno ništetne odredbe iz temeljnog ugovora sklopljenog od istih strana, podrazumijeva da trgovac mora informirati potrošača tako da on razumije pravne posljedice koje za njega proizlaze iz novacije/konverzije, a posebno ga mora informirati o tome da bi ugovorna odredba koja se konvertira naknadno mogla biti utvrđena ništetnom. Nacionalni sud mora utvrditi je li kod konverzije ispunjen taj zahtjev transparentnosti i informiranosti.

-Očekujemo da Sud EU zadrži svoja dosadašnja stajališta i kod odlučivanja po hrvatskom predmetu C-567/20, u kojemu se upravo postavlja pitanje prava potrošača da nakon izvršene konverzije utvrđuje ništetnost temeljnih ugovornih odredaba koje su konvertirane, pa sve do toga da se kod utvrđivanja njegovih prava ne primjenjuje tzv. Zakon o konverziji na način kako je to protumačio Vrhovni sud u oglednom postupku. S velikim optimizmom očekujemo odluku Suda EU po hrvatskom predmetu C-567/20. Konverzija nije obeštećenje – ističu u Udruzi Franak.

-Ugovori s ništetnom valutom CHF ništetni su u cijelosti, a naši ugovori imaju ništetnu još i promjenjivu kamatnu stopu! Banke će morati vratiti sve što su sofisticirano opljačkale hrvatskim potrošačima s kreditima u švicarcima, ali i platiti pripadajuće zatezne kamate – zaključuju u priopćenju.
